DWELLING COST APPLICATION PROGRAMMING INTERFACE ADDENDUM (the "Addendum")


  1. GENERAL. By using the DwellingCost.com’s application programming interfaces, including use of any API credential for access to residential replacement cost data from DwellingCost, DCx or related products (the “API”), you (“Customer”, or “you”) agree to be bound by the DwellingCost.com Terms of Use & Usage Agreement (the “Agreement”) and this Addendum. If you are using the APIs on behalf of a company or entity, you represent and warrant that you have authority to bind that company or entity to the Agreement and this Addendum (all references to “you” in the Agreement or this Addendum refer to such company or entity). To the extent there are conflicting terms between the Agreement and this Addendum, the terms of this Addendum will prevail.
  2. USE OF APIs. You will comply with applicable law, regulations, and the Agreement in your use of the APIs, and will require your end users to do the same. You agree to only access an API by the means described in the documentation of that API, and agree to only use active credentials issued by DwellingCost.com. You will not (a) perform any action with the intent of introducing to DwellingCost.com Services any viruses, defects, malware, or any similar malicious items, (b) use or query the API in any way that will interfere or disrupt the APIs or the infrastructure and network providing the APIs, (c) attempt to reverse engineer or extract source code from any API, or (d) sublicense APIs or create API clients that function substantially the same as the APIs.
  3. CONFIDENTIAL INFORMATION. API credentials (such as keys, secrets, and Web Services login credentials) are intended to solely be used by you. You will keep such credentials confidential and make reasonable efforts to prevent and discourage other persons or entities from using your credentials. Credentials may not be embedded in open source projects.
  4. BILLING AND PAYMENT. You are required to provide a credit card at the time of account setup, and agree to maintain such method of payment in good standing. Payment is due upon invoice via auto-pay, which is typically monthly though may be more frequent depending on volume and/or usage of the API. Failure to maintain a valid payment method with DwellingCost will result in immediate suspension of your credentials and sustained failure to pay will result in collections and/or legal action.
  5. LIMITATION OF LIABILITY. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF DWELLINGCOST.COM AND ITS AFFILIATES FOR ANY CLAIM UNDER THIS AGREEMENT AND ADDENDUM IS LIMITED TO THE AMOUNT YOU PAID TO DWELLINGCOST IN THE MONTH PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY. IN ALL CASES, DWELLINGCOST WILL NOT BE LIABLE FOR ANY EXPENSE, LOSS, OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
  6. INDEMNIFICATION. In addition to indemnification provided by the Agreement, unless prohibited by applicable law, you will defend and indemnify DwellingCost and its affiliates against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising from (a) your misuse or your end user’s misuse of the APIs, or (b) any content or data submitted, provided into or used with the APIs by you.
  7. MODIFICATION. Subject to the same terms as Section 10 of the Agreement, DwellingCost.com reserves the right to reasonably modify the terms of this Addendum periodically without notice .
